General Job Description The Contract Administrator position is targeted toward an experienced analyst who will be responsible for assisting in the preparation and drafting of contracts, including sales contracts, NDAs, DPAs, vendor contracts, and other agreements for commercial transactions as might be necessary largely in the North American regions. This role will also perform ancillary matters related to commercial contracts, including process improvements to create efficiencies in the contracting process which include developmental improvements in the legal department's matter management platform. This position also provides assistance to the corporate legal staff in gathering information, summarizing information, performing transactional work including document review and performing other tasks as may be required to provide general, broad-based support to the legal department's three attorneys in their management of the company's contracting processes and other legal initiatives that may or may not be related to contract management. Position Summary Annual Base Salary Range: $90,000 - $107,000 (based on experience) Additional Performance Based Bonus Based on Employee and Company Performance equal to 15% of Base Salary Job Type: Full-time; Report normal business hours Number of hires for this role: One (1) Job Location: Oldsmar Florida Responsibilities The Contract Administrator position reports directly to the General Counsel and is responsible for handling a variety of routinely assigned contract related legal projects as assigned by, and supervised by, the legal department's attorneys, including but not limited to: Assist the legal department's counsel with the drafting, review, negotiation, management of commercial agreements consisting primarily of the company's customer agreements and related documents, consistent with company policies and objectives. Work with internal stakeholders to effectively assist in the negotiation of favorable terms and conditions in agreements. Coordinate with other internal functional teams to obtain and compile feedback on non-legal provisions included in agreements and related documents. Review or assist in the review of RFP, RFQ, RFI, and similar requests from company's customers. Maintain deadlines on deliverables and communicate with internal and external clients about contractual issues. Transcribe, proofread, and file legal documents. Maintain accurate and updated reports on contract and review tasks status. Field and address questions and requests from internal teams relating to work assignments. Enforce organizational contract policies and procedures. Coordinate with other legal department staff to ensure coverage of workload. Limited travel for training and strategic planning sessions. Maintain confidentiality of information; maintain a professional demeanor. Work with company's matter management system to document all work-related activities and assignments. Work to obtain a thorough understanding of all aspects of a corporate legal department's work and its context in the organization as a whole. Other related legal related general duties as maybe assigned by company's general counsel and or company's senior executives as would relate to contract administration. Ability to infer information from existing documentation and precedent. Willingness to adjust job functions to accommodate other areas as needed. Compose business letters, expositions, summaries, and reports, using proper format, punctuation, grammar, diction, and style. Ability to multi-task under tight deadlines and be flexible to work (occasionally) after hours. Ability to work in a fast-paced environment. Strong written and oral communication skills. Any other combination of skills, experience, and education as deemed appropriate by hiring manager. Legal research proficiency: Demonstrate minimum skills in legal research utilizing department's online legal research utilities. Education and Experience: Bachelor's Degree with 5+ years' professional work experience in contract administration required. 3+ years' experience as contract administrator working with corporate legal staff as part of an in-house legal department required. Experience with contract drafting, negotiation, and lifecycle management required. Experience the matter management platform CounselLink-- a plus. Computer Skills Advanced personal computer skills including advanced knowledge of Adobe and MS Office Suite, specifically Word, PowerPoint, and Excel, as well as the ability to learn other software as needed Legal research proficiency: Demonstrate minimum skills in legal research utilizing department's online legal research utilities.
